Godfrey-Proctor Ltd was a British automobile manufacturer based in Richmond, Surrey, that operated briefly from 1928 to 1929. The company was founded by H.R. Godfrey, known for his involvement with G.N. and later H.R.G., and Stuart Proctor.

The vehicles produced by Godfrey-Proctor featured a design that combined elements of the Austin Seven engine and gearbox with the aesthetic of a miniature Aston Martin International. The chassis, derived from Austin, was modified with a double-drop frame to enhance its performance and handling. The steering column was raked for improved ergonomics, and the suspension system utilized underslung quarter-elliptic springs both at the front and rear.

The cars were equipped with an aluminum cylinder head and a specialized Solex carburettor, which contributed to their performance. The bodywork, typically an occasional four-seater fabric design, was crafted by Newns of Thames Ditton. During its short production run, at least ten units were manufactured, with several sold to Cambridge undergraduates, facilitated by the connections of Stuart Proctor and sales manager John Rooth.
